PURPOSE

This proposal establishes a business development partnership between Nirav Patel and Cocoanut Row Holdings, combining your innovative vending ventures with our expertise in capital raising, investor relations, and strategic marketing. Together, we create a synergy that blends entrepreneurial reach with financial discipline and market storytelling.


With CoRo’s Palm Beach investor network and your expanding national pipeline, this partnership will unlock growth, secure capital for scale, and position your ventures to succeed in both traditional and emerging markets.


Our role is to prepare, structure, and present your deals through investor-ready data rooms, manage capital raise processes, and align partnerships for vending placements in high-value locations—making your portfolio investor-ready, visible, and execution-focused.

SCOPE OF SERVICES

  • Initial Commitment: $10,000 upfront retainer to prepare and professionalize all deal materials.
  • Data Room Management: Build and maintain dedicated investor-ready data rooms for each deal (Delaware Schools, AAA Wholesale, Fingernails2Go, Glamnetic, etc.).
  • Ongoing Maintenance: Host, update, and manage data rooms, research, and marketing collateral for $2,500 per-month over a 12-month period.

FINDER’S AGREEMENT

In addition to the above, Cocoanut Row Holdings / Cocoanut Row Capital will act as Finder on capital raises and transactions that involce prospects introduced by us.

  • Equity Financing: 10% cash fee + 10% warrant coverage.
  • Debt Financing: 3% cash fee + 3% warrant coverage.
  • M&A Transactions (Buy / Sell Side):3% cash fee + 3% warrant coverage.

STRATEGIC SALES & MARKETING

During this engagement, we will also evaluate your existing sales and marketing partner / sales channel fee structures and agreements.

We will prepare a Strategic Partnership Agreement so that Cocoanut Row can place and support vending machines in locations sourced through our network, creating additional deal flow and revenue channels.

COURSE OF ACTION

If this proposal aligns with your vision, the next step will be to prepare and finalize the Finder’s Agreement. Upon execution, I will immediately travel to New Jersey to work with you on-site over the following week, dedicating several hours each day to get fully integrated into your workflow. This will allow me to produce results within the first 30-days and ensure that this is a full-force effort from day one...
